    Business Forms in Hungary: How to Choose the Best Structure for Your Company

    When setting up a business in Hungary, entrepreneurs have the opportunity to choose from several legal forms, each of which has unique characteristics, capital requirements and level of responsibility of the founders.

    Limited Liability Company (Kft. – Korlátolt felelősségű társaság)

    This form is the most common among small and medium-sized enterprises and is available to both residents and non-residents (individuals and legal entities).

    • The minimum authorized capital is HUF 3 million (approx. €7,700).
    • Participants are liable only to the extent of their capital contributions.
    • It is important to note that the transfer of shares is only possible with the consent of other participants, unless otherwise specified in the articles of association.

    Private joint stock company (Zrt. – Zártkörűen működő részvénytársaság)

    This form is suitable for larger projects where investment is expected to be raised through the issue of shares.

    • The minimum capital is HUF 5 million (approximately €12,800).
    • The shares cannot be freely sold to third parties without the consent of the other shareholders, and they are not traded on the stock exchange.
    • The liability of the shareholders is limited to the value of their shares.

    Public joint stock company (Nyrt. – Nyilvánosan működő részvénytársaság)

    This structure is ideal for large companies planning to enter the stock market or raise capital on a large scale.

    • The minimum share capital is HUF 20 million (approx. €51,300).
    • The shares are freely traded on the stock market, making it easier to attract investors.
    • Companies are required to comply with stricter corporate governance requirements, including a supervisory board and auditing.

    Branch Office of a Foreign Company

    Allows a foreign company to conduct business in Hungary under the same name as abroad.

    • A branch is not an independent legal entity and all liability lies with the parent company.
    • Registration in the Hungarian registry is required, but the creation of a separate share capital is not required.

    Representative Office

    This form is suitable for non-commercial activities such as marketing, negotiations or market research.

    • A representative office cannot conduct commercial activities or generate income in Hungary.
    • Registration is simple, but the functions of a representative office are limited.
